Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Nomodo.ai platform, including our website, APIs, SDKs, and other services (collectively, the "Services"). Please read them carefully. By using our Services, you agree to be bound by these Terms, our Acceptable Use Policy, and our Privacy Policy.

1. Your Agreement

These Terms form a binding legal agreement between you ("you" or "User") and nomodo.io s.r.o. ("Nomodo.ai", "we", "us", or "our"). You must be at least 14 even better 18 years old to use the Services. If you are using the Services on behalf of an organisation, you agree to these Terms for that organisation and confirm you have the authority to bind it.

2. Our Services & Your Responsibilities

  • What We Do: Our Services provide a unified interface to access various third-party and private Large Language Models ("Third-Party LLMs") and related tools. We act as a proxy or intermediary, simplifying your interaction with these complex systems.
  • Account Security: You are responsible for all activity that occurs under your account, including keeping your password and API keys confidential.
  • Acceptable Use: You must comply with our Acceptable Use Policy at all times.
  • Third-Party Terms: Because we connect you to Third-Party LLMs, you agree to comply with the terms, conditions, and policies of any third-party provider you access through our Services (e.g., OpenAI, Anthropic, Google). We are not responsible for their services or policies.

3. Content Rights & Ownership

  • Your Content: You own all the content you send to the Services (your "Input"). You grant us a worldwide, non-exclusive licence to use, process, and transmit your Input solely to provide and maintain the Services for you.
  • Output: The content generated and returned by the Services is the "Output." Subject to your compliance with these Terms and the terms of the applicable Third-Party LLM provider, we assign to you all our rights, title, and interest in and to the Output. This means you can use it for any purpose, including commercial ones.
  • Content Accuracy: The Output is generated by AI and may not always be accurate, unique, or reliable. You are responsible for reviewing and validating the Output to ensure it is appropriate for your use case. We are not liable for any errors or omissions in the Output.

4. Fees and Payment

You agree to pay all fees charged to your account based on our current pricing, which is available on our website. We may change our prices by giving you at least 30 days' notice. You are responsible for paying all applicable taxes. All payments are processed by a third-party payment processor, and you agree to their terms.

5. Disclaimers and Limitation of Liability

This is an important section, so please read it carefully.

  • "AS IS" Service: THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ACCURATE, OR ERROR-FREE.
  • Third-Party Disclaimer: We do not control and are not responsible for the Output from or the performance of any Third-Party LLMs.
  • Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER NOMODO.AI NOR OUR AFFILIATES OR PERSONNEL WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICES. OUR TOTAL AGGREGATE LIABILITY IN ANY CASE IS LIMITED TO THE AMOUNT YOU ACTUALLY PAID US FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

6. Indemnification

You agree to defend, indemnify, and hold harmless Nomodo.ai, our affiliates, and our personnel from and against any claims, losses, and expenses (including legal fees) arising from or related to your use of the Services, your content, or your breach of these Terms or any applicable laws or third-party policies.

7. Termination

You are free to stop using the Services at any time. We reserve the right to suspend or terminate your access to the Services with notice to you if you breach these Terms or if your use poses a security risk.

8. General Terms

  • Governing Law: These Terms will be governed by the laws of the Czech Republic, without regard to its conflict of laws rules.
  • Entire Agreement: These Terms, along with our Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and Nomodo.ai regarding the Services.
  • Changes to Terms: We may modify these Terms from time to time. We will provide notice of changes, and your continued use of the Services after the changes become effective constitutes your agreement to the new Terms.
